Ashray Vishnu is an associate at MCM Law and works in the Transaction Advisory team. He advises startups, investors, and growth stage companies on structuring and executing venture capital, private equity and strategic investment transactions. His practice spans deal structuring, legal due diligence, drafting and negotiating definitive agreements, and advising on corporate governance and regulatory frameworks.
He has also worked with US based clients, handled NVCA-style US transaction documents and has experience navigating cross-border transactions involving overseas holding structures.
Ashray started his career at MCM Law, where he was actively involved in conducting legal due diligence on target companies across a variety of sectors. During this time, he also gained experience reviewing and advising on employee stock option plans (ESOPs), including structuring and drafting ESOP agreements and related governance documentation.
He later moved into an in-house role as a corporate lawyer for a Dubai-based Finnish telecom company, where he worked on a broad range of cross-border commercial transactions. He also advised on global compliance matters, covering data protection laws across African jurisdictions and employment laws in Latin America. Additionally, he prepared governance and compliance documentation for a U.S.-incorporated entity, focusing on annual statutory obligations and internal corporate housekeeping.
Ashray later transitioned back to MCM Law to deepen his focus on venture capital, private equity, and M&A transactions, bringing with him a broadened commercial perspective and global exposure that now informs his deal execution and strategic advisory work.
Outside of work, he’s a mythology enthusiast, an avid reader, enjoys gaming, playing basketball, and sharing well-timed memes to keep things light.

Ashray holds a B.A. LL.B. (Honours) degree from School of Law, Christ (Deemed to be University).
